Rick Frier, Director and Chairman of Audit Committee

Rick P. Frier has been a director of the Company since November 9, 2015. Most recently, Mr. Frier served as Executive Vice President and Chief Financial Officer of Chiquita Brands International Inc., a leading international marketer and distributor of fresh food products, from 2013 to 2015. Prior to this, he served as Executive Vice President, Chief Financial Officer and Board Director of Catalina Marketing Corp. from 2005 to 2012, where he led all global finance and legal functions and new business development. From 2001 to 2005, he served as Chief Financial Officer and Chief Operating Officer and Board Director of Mattress Discounters Inc. Mr. Frier brings to the Company’s board his significant experience in strategic planning and leading financial operations for both public and private companies.

David L. Resnick, Director

Mr. Resnick is President of the private investment firm Third Avenue Management. Mr. Resnick joined Third Avenue Management at the end of 2012 and is responsible for the firm’s investment team as well as assisting in the overall management of the firm and defining and implementing its strategic goals.  Prior to joining Third Avenue, Mr. Resnick served as Chairman of Global Financing Advisory at Rothschild Inc., a leading international investment banking firm specializing in mergers, acquisitions, restructurings and privatizations. At Rothschild, Mr. Resnick headed the firm’s global restructuring practice and previously was Co-Head of Investment Banking for North America. Mr. Resnick has extensive experience advising companies on complex financial advisory assignments such as recapitalizations and spinoffs, as well as acquisitions of companies in bankruptcy.

Mr. Resnick holds a Bachelor of Arts degree, with High Honors, from Wesleyan University, where he was elected to Phi Beta Kappa, and a M.B.A. and J.D. from The University of Chicago. Additionally, Mr. Resnick is a member of the Board of Directors of Wesleyan University, The Jewish Museum and Corporate Risk Holdings.

Todd Siegel, Director

Todd H. Siegel was appointed Chief Executive Officer and a director of Affinion as of September 20, 2012. Prior to that, he served as Executive Vice President and Chief Financial Officer from November 2008, having been promoted from Executive Vice President and General Counsel, a role he assumed in October 17, 2005. Mr. Siegel joined us in November 1999 as a member of the Membership Division of the Legal Department of Cendant and served as General Counsel of Trilegiant starting in July 2003 and Cendant Marketing Group starting in January 2004. Prior to joining Cendant, Mr. Siegel was employed as a corporate associate at Skadden, Arps, Slate, Meagher and Flom; and prior to that he was employed as a certified public accountant with Ernst & Young.

Skip Victor, Director

Skip Victor has been a director of Affinion since December 16, 2013. Mr. Victor currently serves as a Managing Director and member of the Investment Committee of Balmoral Funds, where he has been employed since 2005. From October 2006 through April 2015, Mr. Victor was a Senior Managing Director of Duff & Phelps in its Restructuring Group, and from 1990 through 2006 Mr. Victor was a co-founder and Senior Managing Director of Chanin Capital Partners, a boutique investment bank focusing on corporate restructurings that was sold to Duff & Phelps in October of 2006. Mr. Victor has previously served on various boards of directors of public and private companies including Bennington Marine, Bucyrus-Erie, SpectraVision, The Washington Group, and currently serves on several non-profit boards including Academic Exchange and the Los Angeles Child Guidance Clinic. Mr. Victors brings to Affinion’s Board of Directors his more than 29 years of experience in analyzing, advising and investing in public and private companies.

Mark R. Vondrasek, Director

Mr. Vondrasek was most recently Senior Vice President of Commercial Services at Starwood Hotels and Resorts Worldwide.  A 14 year Starwood executive responsible for all top-line revenue functions for the organization, Mr. Vondrasek led over 6,500 associates with revenue responsibility of $7 billion and was responsible for the industry leading Starwood Preferred Guest program, Global Sales teams, nine Customer Contact Centers around the world, Mobile applications and digital initiatives.

Mr. Vondrasek led industry changing initiatives in Loyalty the last few years including SPG Keyless, Your 24, Delta Crossover Rewards and SPG Pro. Starwood’s most important strategic marketing partnerships were also overseen by Mr. Vondrasek including a co-brand credit card alliance with American Express and music, sports and entertainment partnerships for Starwood’s 9 brands which include Delta Airlines, Emirates, Coca Cola and F1 Petronas.

Mr. Vondrasek joined Starwood in 2001 and his responsibilities significantly expanded over his tenure there. He was a member of Starwood’s Senior Leadership Team and a member of SARF Board (Starwood Associate Relief Fund). Prior to joining Starwood, he worked at Fidelity Investments.

Mr. Vondrasek earned a Bachelor’s degree from the University of St. Thomas in Minnesota and a Masters in Business Administration from Loyola University in Chicago.

Spencer Wells, Chairman

Spencer Wells has been the Chairman of the board of directors of the Company since November 9, 2015. Mr. Wells co-founded Drivetrain Advisors, LLC, a firm providing fiduciary services to the alternate investment community, in December 2013, where he currently serves as a Partner. Most recently, Mr. Wells was employed by TPG Special Situations Partners from 2010 to 2013, where he first served as Partner from September 2010 to January 2012, and then as a Senior Advisor from January 2012 to July 2013. Mr. Wells also served as a Partner/Portfolio Manager for Silverpoint Capital from September 2002 to July 2009. Prior to joining Silverpoint Capital, Mr. Wells served as a Director at the Union Bank of Switzerland from May 2001 to September 2002 and as a Vice President of Deutsche Bank AG from January 1999 to May 2001. Mr. Wells currently serves on the boards of directors of Town Sports International Holdings, Inc., Global Geophysical Services, Inc. (Chairman), Preferred Proppants LLC, Syncora Holdings LTD and Advanced Emissions Solutions, Inc. Mr. Wells brings to the Company’s Board of Directors his more than 16 years of experience in analyzing, advising and investing in public and private companies.
